This website is operated by Mechanism Ventures, LLC Throughout this website (https://scholarshipinstitue.org/) (the “Site”), the terms “we”, “us” and “our” refer to Scholarship Institute. Scholarship Institute offers this Site and the ability for users who are applicants to explore and apply for scholarships, fellowships and grants  (the “Service”), conditioned upon your acceptance of all terms, conditions, policies and notices stated in these Terms of Use (the “Terms”). These Terms govern your use of the Site and Service. The Site and Service are offered to you conditioned on your acceptance, without modification, of the terms, conditions, and notices contained in these Terms. If you do not agree to these Terms, you must not access the Site nor do you have the right to use our Service. The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

By visiting our Site and/or purchasing the Service from us, you are engaging in our Service and agree to be bound by the Terms. These Terms apply to all users of the Site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

Personal information that is collected on the Site and through the Service is handled in accordance with our Privacy Policy. Your use of the Service is also subject to additional terms as set forth in the “Specific Additional Terms and Conditions” section below (the "Additional Terms").  In the event that any of these Terms conflict with the Additional Terms or other terms and guidelines contained within any particular section of the Site or with any terms included with any product or service purchased from Scholarship Institute, then these Terms shall control.

YOU MUST BE AT LEAST 14 YEARS OF AGE TO USE OR ACCESS THE SITE AND OUR SERVICE. YOU MAY ONLY ACCESS AND USE THE SITE AND THE SERVICE IN COMPLIANCE WITH ALL APPLICABLE LOCAL, STATE, FEDERAL, AND FOREIGN LAWS, RULES AND REGULATIONS.

1. General Conditions

You may use the Site and Service, including the content on it solely for the purposes stated on the Site itself, as described in these Terms and in accordance with any applicable Additional Terms. We reserve the right to refuse the Service to anyone for any reason at any time.

Users are the sole creators of their accounts on the Service and Scholarship Institute may not independently verify the information provided. You are responsible for maintaining the confidentiality of your Scholarship Institute account and password. You shall be responsible for all uses of your account and password, whether or not authorized by you. You agree to immediately notify Scholarship Institute of any unauthorized use of your account or password.

While as a practice we strive to encrypt data in transmission and at rest, you understand that your content may be transferred unencrypted and involve: (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

2. Site Content And Proprietary Rights

The Site and Service include a broad array of content and functionality. All user interfaces, software, and other information and content, or portion or combination thereof, provided and made available by or for Scholarship Institute in connection with the Site and Service (“Site Content”) is for use only for individual, non-commercial purposes. We retain all of our right, title and interest in and to Site Content. This includes, but is not limited to all copyrights, trademarks, patents, derivative works, moral rights, trade secrets, and proprietary information in all content that appears on the Site (other than the content of our third-party business partners who have permission to appear on the Site), and in all software that we develop in connection with the Site and our Service. Nothing on the Site shall be construed as granting any license or right to use any image, trademark, service mark or logo. Downloading, copying or printing individual pages and/or parts of the Site is allowed for personal, non-commercial use only, and will not transfer title to any software or material on the Site to you. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Site or the Service without express written permission by us.

3. Limited License

Scholarship Institute grants you a limited, revocable, non-exclusive, non-transferable, and non-sub-licensable right to access and make personal use of the Site and our Service. Explicit attribution to Scholarship Institute must be made in the event that the material, or any part thereof, is reproduced in any form, written or electronic. Furthermore, any reproduction, re-publication or distribution of this material requires the express consent of Scholarship Institute.

4. Prohibited Conduct and Content

As a condition of your use of the Site and our Service, you will not use the Site or the Service for any purpose that is unlawful or prohibited by these Terms. You are prohibited from:  

1. impersonating any person or entity or otherwise misrepresent your affiliation with a person or entity in connection with your use of the Site or the Service;
2. using the Site or Service to violate any applicable local, state, national, international or foreign law including United States and foreign export regulations and restrictions;
3. using the Site or Service to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
4. reverse engineering, disassembling, decompiling, modifying, or translating any software or other components of the Site or Service;
5. distributing viruses or other harmful computer code through the Site;
6. attempting to gain unauthorized access to the Site or Service, other accounts, computer systems or networks connected to the Site, through hacking, password mining or any other means;
7. removing or modifying any proprietary notice, copyright notice, or trademark legend, author attribution, or other notice placed on or contained within any of the Site, Service, or Site Content or attempting to disable, bypass, modify, defeat, or otherwise circumvent any digital rights management or security system used as part of the Site, Service, or Site Content;
8. uploading to the Sites or Service the personal information of others that you are not authorized to provide or using the Sites or Service to collect or track the personal information of others;
9. providing any content, data or information to Scholarship Institute that contains viruses or malicious code or is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy or right of publicity, hateful, or racially, ethnically or otherwise objectionable;
10. using the Site, Service or Site Content in a way that suggests you are a representative of Scholarship Institute;
11. using the Site, Service or Site Content as a platform for external applications, or to develop applications, services, websites, or any other functionalities that leverage the Site, Service or Site Content;
12. infringing or misappropriating the intellectual property, proprietary or privacy rights of any third party;
13. interfering with or disrupting the proper functioning of the Site, Service or Site Content, Scholarship Institute’s or any third party’s systems used to host the Site, or other equipment or networks used to provide the Site, Service or Site Content;
14. communicating the Site Content to the public, provide or make available any links, hypertext (Universal Resource Locator (URL) address) or otherwise grant access (other than a “bookmark” from a web browser) to the Site, or any part thereof;
15. circumventing the user authentication or security of the Site or any host, network, or account related thereto;
16. using any application programming interface to access the Site, Service or Site Content;
17. failing to use commercially reasonable efforts to prevent the unauthorized license, access, sale, transfer, lease, transmission, distribution, or other disclosure of the Site, Service or Site Content;
18. allowing any individual to use any account log-in credentials (e.g., user identification(s), code(s), password(s), procedure(s) and user keys) issued to, or selected by, Scholarship Institute for someone other than the individual identified in the account information;
19. (i) if we believe that any Site/Service is being used in violation of these Terms of Use or applicable law, 
20. (ii) if we believe that the use of the Site/Services may pose a security risk to us or any third party,
21.  (iii) if ordered by a law enforcement or government agency or otherwise in order to comply with applicable law, 
22. (iv) if necessary for operation, maintenance or expansion of our Site(s)/Services, or for other technological purposes,
23.  (v) if required or requested by a Service Provider (as defined in the Privacy Policy) or if a Service Provider ceases to provide services to us, 
24. (vi) if Customer fails to fulfill payment obligations, or
25. (vii) we determine in our sole discretion that suspending or terminating the provision of the Site(s)/Services to you is in our best interest. 
26. causing damage to Scholarship Institute’s business, reputation, employees, members, facilities, or to any other person or legal entity; or
27. otherwise using the Service, Site, or Site Content in any manner that exceeds the scope of use granted above.

Any use which violates these Terms, gives Scholarship Institute the right (without notice or liability) to revoke the aforementioned license, cancel any order, or to refuse, restrict, terminate or discontinue your access to the Site, Service, or Site Content (or any portions, components, or features thereof). We shall not be liable to you or to any third-party for any modification, suspension or discontinuance of the Site or the Service.

5. Account Registration And Use

To utilize the Services, you will be required to create an account associated with a valid email address (“Account”). Upon Account creation with our Scholarship Institute Service, we may also provide you with a unique service-specific email address as part of your Account (“Institute Email Account”).   You agree to provide us with accurate and complete registration information, and we disclaim any liability arising from your failure to do so.

You are responsible for safeguarding your account information, including your password for your account. You agree to take sole responsibility for any activities or actions under your password, whether or not you have authorized such activities or actions. You agree to immediately notify Scholarship Institute of any unauthorized use of your password.

Scholarship Institute does not process payment information. Payment information is handled by third-party vendors. By using the Service, you agree to your financial or payment information being shared with the third-party payment processor. We reserve the right to refuse registration of, or cancel your account at our sole discretion.

6. Accuracy, Completeness And Timeliness Of Information On The Site

Although Scholarship Institute  attempts to provide accurate product descriptions and other information, we are not responsible if information made available on the Site is not accurate, complete or current. The material on the Site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on the Site is at your own risk.

The Site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of the Site at any time, but we have no obligation to update any information on the Site. You agree that it is your responsibility to monitor changes to the Site.

7. Payments and Billing

Subscription Plans: Our Service is offered on a subscription basis with different plans that may vary in duration, features, and pricing. When you select a subscription plan, you authorize us to charge you the applicable fees based on your selected plan.

You may not transfer, assign, or share your subscription with anyone else.

By subscribing to a Subscription Plan and providing your billing information during checkout, you grant us and our payment service providers the right to charge your selected payment method on a recurring basis, as per the billing cycle of your plan (e.g., monthly, quarterly).

Payment Method: To subscribe to a Subscription Plan, you must provide a payment method.  You agree to provide accurate and complete billing information. If your payment method fails, we may suspend or terminate your access to the Service until payment is successfully processed.

All payments must be made in United States Dollars.

Billing Cycle: Your billing cycle starts on the date you purchase a subscription and renews automatically based on the selected term (e.g., monthly, quarterly). The renewal charge will be equal to the original purchase price unless we notify you of any price changes as outlined in the below section, Pricing Changes.

Pricing Changes: We reserve the right to modify subscription fees at any time. Any price change will be communicated to you at least 30 days before the new price takes effect. If you do not agree to the price change, you may cancel your subscription before the next billing cycle (see Section ‘Cancellation’ below).

If we are unable to process payment through the payment method we have on file for you, or if you file a chargeback disputing charges made to your payment method and the chargeback is granted, we may suspend or terminate your subscription.

We reserve the right to change our Subscription Plans or adjust pricing for our Services at our sole discretion. Any price changes or changes to your subscription will take effect following notice to you, except as otherwise required by applicable law.

Payments are non-refundable and there are no refunds or credits for partially used periods, unless otherwise required by applicable law.

Refunds

Subscription: Scholarship Institute  does not offer refunds for payments made on a subscription plan.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us  at support@scholarshipinstitute.org. 

Your subscription will renew automatically based on the selected term (e.g., monthly, quarterly)  until you cancel or the subscription is suspended or discontinued by Scholarship Institute. If you cancel your subscription, cancellation will be effective at the end of the current subscription period. You will continue to have access to your subscription for the remainder of that period, but you will not receive a refund.

Third-party links

Certain content, products and services available via our Service may include materials from third-parties. Third-party links on this Site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties. We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party’s policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

Additionally, Scholarship Institute participates in partner advertising programs designed to provide a means for Scholarship Institute to generate revenue by advertising and linking to those third parties’ products or services. When such partner relationships exist and there is an opportunity for Scholarship Institute to be compensated for referring you to the partner, Scholarship Institute will disclose that to you.

User comments, feedback, and other personal information and submissions

We may give you the ability through the Site and the Service to provide comments, images, videos, audios, files, and other information and materials that you wish to share (collectively, "Submitted Content"). For example, Submitted Content includes any information that you provide to us when creating your Scholarship Institute profile or submitting your scholarship applications. Please be assured, to the extent Submitted Content includes any personal information, we will use such personal information in accordance with our Privacy Policy.

By providing Submitted Content, subject to Section 16 (Personal Information) of these Terms and your rights set out in our Privacy Policy, you authorize Scholarship Institute to copy, modify, display, distribute, perform, or otherwise use the Submitted Content in any manner (collectively, the “Use Rights”) and to grant such Use Rights to third parties (such as our service providers, advertising partners). For example, we may share your Submitted Consent on Internet-based digital and social media (including, but not limited to, Facebook, Twitter, Instagram, TikTok, and Snapchat), via e-mail to users of the Site, on any website maintained by Scholarship Institute, print advertising (including in newspapers, magazines, and other periodicals), promotional materials, and press releases. However, Scholarship Institute will honor any request by you to stop a certain Use Right or to cease using particular Submitted Content (for example, if you’d like us to remove a social media post) as set forth in our Privacy Policy. To make such a request, email privacy@ScholarshipInstitute.org.

We may, but have no obligation to, monitor, edit or remove Submitted Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms. You represent and warrant that your Submitted Content will not (i) violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right, (ii) contain libelous or otherwise unlawful, abusive or obscene material, or (iii) contain any computer virus or other malware that could in any way affect the operation of the Service or the site. Moreover, if you provide us with any personal information relating to another individual, whether via Submitted Content or otherwise, then you represent and warrant that you have the authority to do so and to permit us to use the information in accordance with these Terms and our Privacy Policy. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any Submitted Content. You are solely responsible for any Submitted Content you provide and its accuracy. We take no responsibility and assume no liability for any Submitted Content posted by you or any third-party.

Disclaimer of warranties; limitation of liability

We do not guarantee, represent or warrant that your use of the Site or the Service will be uninterrupted, timely, secure or error-free. We do not warrant that the results that may be obtained from the use of the Service will be accurate or reliable. You agree that from time to time we may remove the Site or Service for indefinite periods of time or cancel the Service at any time, without notice to you. You expressly agree that your use of, or inability to use, the Site or Service is at your sole risk.

We do not guarantee or warrant the security of your information or any information you disclose or transmit to us. We are not responsible for the acts of those who gain unauthorized access, and we make no warranty, express, implied or otherwise, that we will prevent such access, and we are not responsible for any damages or liabilities relating to any such incidents to the fullest extent permitted by law.

THE SITE AND SERVICE AND ALL PRODUCTS AND SERVICES DELIVERED TO YOU THROUGH THE SERVICE ARE (EXCEPT AS EXPRESSLY STATED BY US) PROVIDED ‘AS IS’ AND ‘AS AVAILABLE’ FOR YOUR USE, AND WE HEREBY DISCLAIM ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

IN NO CASE SHALL SCHOLARSHIP INSTITUTE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS, SERVICE PROVIDERS OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SITE OR SERVICE OR ANY PRODUCTS PROCURED USING THE SITE OR SERVICE, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SITE OR SERVICE OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICE OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN NO EVENT SHALL SCHOLARSHIP INSTITUTE BE LIABLE, UNDER ANY LEGAL THEORY (CONTRACT, BREACH OF WARRANTY, NEGLIGENCE OR OTHER TORT, STRICT LIABILITY, OR OTHERWISE) UNDER THESE TERMS OR OTHERWISE FOR ANY DAMAGES IN EXCESS OF ONE HUNDRED DOLLARS ($100). SUCH LIMITATION SHALL EXTEND TO ALL LIABILITY OR POTENTIAL LIABILITY, INCLUDING FOR PERSONAL INJURY OR WRONGFUL DEATH.

Indemnification

You agree to indemnify, defend and hold harmless Scholarship Institute and its subsidiaries, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees, harmless from and against any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

 Severability

In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms, such determination shall not affect the validity and enforceability of any other remaining provisions.

Control of the site; modification of terms; termination

We reserve the right at any time to modify or discontinue the Site and Service (or any part or content thereof) without notice at any time. The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of these Terms for all purposes. These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use the Service, or when you cease using the Site. If in our sole judgment you fail, or we suspect that you have failed, to comply with any of these Terms, we also may terminate these Terms at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to the Service and the Site (or any part thereof).

Any update to these Terms will not apply to your ongoing use of the Service until or unless you expressly agree to the updated Terms, although such agreement may be a condition of your ongoing use of the Service. In other respects, we reserve the right to change these Terms and Conditions as they relate the Site on a going-forward basis at any time. If such an update to these Terms materially modifies any of your rights or obligations, we will post notice of the update on the Site for a reasonable period of time.

Entire agreement

The failure by us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms and any policies or operating rules posted by us on the site or in respect to the Site or Service constitutes the entire agreement and understanding between you and us and governs your use of the Site and Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of these Terms).

Governing law

These Terms and any separate agreements whereby we provide you the Service shall be governed by and construed in accordance with the laws of the State of California without regards to its conflicts of law provisions. The city and county of San Francisco shall have exclusive jurisdiction, and you hereby waive any claims that the forum is inconvenient, over any disputes related to Scholarship Institute, these Terms, the Site, or the Service.

The Site is controlled and operated from within the United States. We make no representation that the Site is appropriate or available in locations outside the United States. Anyone choosing to access the Site from other locations are responsible for compliance with applicable laws. International visitors must comply with all local rules regarding online conduct and acceptable content, including laws regulating the export of data from the United States or your country of residence.

Dispute resolution; arbitration; waiver of class action

Scholarship Institute will try to work in good faith to resolve any issue you have regarding the Site and the Service through its customer service department. However we realize there may be cases where we may not be able to resolve an issue to a customer's satisfaction. At  Scholarship Institute’s discretion, we may require that any dispute arising from these Terms or the Site or Service – including but not limited to disputes arising from or concerning contract interpretation or alleged invalidity or unenforceability, alleged breach, non-performance, or termination – to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying California law. If you bring a dispute  in a manner other than in accordance with this section, you agree that we may move to have it dismissed, and that you will be responsible for our reasonable attorneys’ fees, court costs, and disbursements in doing so. Additionally, in any action or proceeding to enforce rights under these Terms, the prevailing party will be entitled to reasonable attorneys’ fees, court costs, and disbursements.

TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW: (a) YOU AND  SCHOLARSHIP INSTITUTE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION, AND (b) UNLESS BOTH YOU AND  SCHOLARSHIP INSTITUTE AGREE, NO ARBITRATOR OR JUDGE MAY CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

Personal information and opt-outs

Your submission of personal information to Scholarship Institute or through the site is governed by our Privacy Policy which you can access via the link located at the bottom of this page.

You agree that we or third parties acting on our behalf may send you emails regarding important information regarding your use of the Site and Service and other electronic communications such as newsletters and promotional materials. While using the Site or Service, if you agree to receiving a newsletter, promotional materials, or any other subscription or registration or use of another platform that partners with Scholarship Institute, then you will be deemed to have acknowledged, agreed, and consented to Scholarship Institute’s use of your personal information and data for that purpose.

You may opt out of receiving the newsletters and other promotional messages at any time by clicking the unsubscribe link on the email, but you may not opt-out of receiving important items regarding the use of the Site, the Service or your account and the like.

Specific additional terms and conditions

The following supplemental terms apply to your use of Scholarship Institute, our scholarship application search and completion system.

No Double Applications: We will provide you with the opportunity to reject individual scholarship providers. You agree to reject any scholarship provider to which you or anyone on your behalf has applied in the past. You acknowledge that any failure to reject duplicative applications may disqualify your other applications, and you waive all claims against us relating to such disqualification.

Additional Services: We may from time to time offer additional services such as scholarships, sweepstakes, or communications programs (“Additional Services”). If you choose to accept or purchase Additional Services, you may be required to enter into a specific agreement for such Additional Services (“Additional Agreement”). Each Additional Agreement to which you agree is supplementary to these Terms of Use and incorporated herein by reference. Unless otherwise provided, the term “Services” shall include the Additional Services.

Scholarship Sweepstakes: The Official Rules appended here to as Exhibit A constitute an Additional Agreement for participating in our scholarship sweepstakes. If you participate in our scholarship sweepstakes, you agree to the Official Rules.

Cancellation: You may cancel your Account with the Scholarship Institute Service by (i) submitting a cancellation request through your Account on the Scholarship Institute Site; (ii) sending an email to support@ScholarshipInstitute.com specifying the email address used for the Account and clearly indicating that you want to cancel, or (iii) calling customer service at +1 888 418 5926 Monday - Friday, 11a.m. to 6p.m. EST.

Termination: In addition to any other rights to suspend or terminate an Account in the Terms of Use, we may terminate your right to access and use the Scholarship Institute Service immediately, with or without notice, and without liability (i) if we suspect a breach of the Terms of Use or violation of applicable law, (ii) if we are threatened with a legal claim, including for intellectual property infringement, related to the Scholarship Institute Service, or (iii) if we determine that the use of the Scholarship Institute Service by you or our provision of the Scholarship Institute Service has become impractical or unfeasible for any reason. If you or we cancel or terminate your use of the Scholarship Institute Service, then: (i) we shall immediately terminate your access to the Service, including removing your entry from any scholarship sweepstakes in which you are enrolled as of the date of termination, (ii) all fees and Taxes that you are obliged to pay us, up to the effective date of termination, will be charged at the end of the then-current billing period, (iii) there will be no refund of any amount already paid by you as of the effective date of termination, including any amount in respect of the period following the effective date of termination, and (iv) we will maintain your Content for a period of time in our discretion in accordance with our Privacy Policy.

Promoted Scholarships: We may from time to time receive compensation from a scholarship provider to visually highlight a scholarship presented to you and/or to move a scholarship to the top or near the top of the list of scholarships presented to you. Paid promotion of a scholarship does not constitute our endorsement or recommendation of that scholarship or the scholarship provider.

Automatic Applications: We may provide you the opportunity to enroll in an automatic application feature of the Scholarship Institute Service. By enrolling in automatic applications, you direct us to select and apply for scholarships on your behalf and transmit your personal information to the Scholarship Partners associated with such scholarships. We will generally select scholarships for applications whose requirements align with the information you have provided to us in your Scholarship Institute Service profile. We do not guarantee that we will submit an application on your behalf for any particular scholarship, that you will be eligible to receive any scholarship for which we submit your application, or that you will be awarded any scholarship. You should continue to manually monitor your account and scholarships available to you. You may opt out of the automatic application feature at any time from within your Account on the Scholarship Institute Site.

Text Message Program: 

If you choose to participate in our text message program, the SMS Program Terms appended hereto as Exhibit B constitute an Additional Agreement for your participation in such program and you agree to such SMS Program Terms.

Electronic Disclosures

If you choose to receive electronic disclosures from us related to consent for marketing or nonmarketing telephonic communications, the Electronic Disclosure Consent Agreement appended hereto as Exhibit C constitutes an Additional Agreement for your receipt of electronic disclosures.

Sweepstakes Official Rules

We are pleased to offer the Scholarship Institute Scholarship Sweepstakes (“Scholarship Sweepstakes”) in which you can apply for a chance to win a scholarship to be used for tuition, books, and other education-related expenses at your qualified high school, college or university within the United States (collectively, “School”).

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THE SCHOLARSHIP SWEEPSTAKES. ANY PURCHASE, PAYMENT OR UPGRADE WILL NOT INCREASE YOUR CHANCES OF WINNING. THE SCHOLARSHIP SWEEPSTAKES IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW. PLEASE SEE “RESTRICTIONS” BELOW.

By applying to enter the Scholarship Sweepstakes, whether automatically by us upon your registration to the Website, or else by you actively applying to enter the Sweepstakes, you agree to be bound by these Official Rules, and you understand that any violation of these Official Rules shall result in your disqualification from the Scholarship Sweepstakes. All of our decisions regarding the Scholarship Sweepstakes, including without limitation the selection of the winner, shall be final and binding in all respects. We reserve the right to amend or discontinue the Scholarship Sweepstakes and these Official Rules at any time in its sole discretion.
The provisions set forth on the relevant sweepstakes page “Sweepstakes Page” shall be deemed an integral part of these Official Rules. All capitalized terms not otherwise defined herein shall have the meaning ascribed to them on the Sweepstakes Page.

Eligibility. You may apply to enter the Sweepstakes for a chance to win a scholarship for your School only if you meet the Eligibility Requirements set forth on the Sweepstakes Page.

We reserve the right to disqualify any applicant from the Scholarship Sweepstakes at any time, and in our sole discretion.

Without limiting the foregoing, you may not be an officer, director, member or employee of us or any other party associated with the development or administration of the Scholarship Sweepstakes, or an immediate family member (i.e., parents, children, siblings or spouse) of any of the foregoing, or a person living in the household of any of these individuals, whether or not related.

How to Enter. The Scholarship Sweepstakes will run for the Sweepstakes Period, as set forth on the Sweepstakes Page.
Instructions for registration for the Sweepstakes Scholarship are set forth on the Sweepstakes Page.

You may apply to enter the Scholarship Sweepstakes under a single name and a single email address. After the end of the Sweepstakes Period no further applications will be accepted.
The estimated odds of winning are set forth on the Sweepstakes Page. Actual odds of winning depend upon the total number of eligible applications received. Each eligible application will have an equal chance of winning. We will disqualify any applicant tampering with the application process or the operation of the Website, including without limitation through the use of bots or other automated processes to enter.

All information you provide must be correct and complete.
The Scholarship Sweepstakes is subject to applicable law and is void where prohibited or restricted by law.

Winner Selection. On or around the Draw Date, as set forth on the Sweepstakes Page, we will draw a winner of the Prize, as set forth on the Sweepstakes Page, who will be selected by a random drawing from amongst all eligible entries (“Winner”).
In the event of a dispute regarding the identity of an applicant, including without limitation Winner, identity shall be deemed to be that of the natural person over 16 years of age owning the email address associated with the Winner’s Account, as of the date that we receive such applicant’s application for the Scholarship Sweepstakes.

Prize The amount of the Prize is set forth on the Sweepstakes Page. Winner must use the Prize solely and exclusively for the full or partial payment of Winner’s tuition, books, or other education-related expenses at Winner’s School. The Prize may not be used to purchase alcohol, tobacco products, illegal drugs, or other goods or services that are not education-related.

We shall either pay the amount of the Prize to Winner, or else directly to Winner’s School, and all in our sole discretion.
Upon our request, and prior to Winner being awarded the Prize, Winner must provide us with proof of Winner’s enrollment at the School and Winner’s tuition bill, and any other information requested by us.

Winner Notification. Winner will be notified by e-mail or by telephone within approximately five (5) business days of the Draw Date, to be followed by written notification to Winner’s Lab Email Account.

Winner will be deemed to have forfeited the Prize, and an alternate will be selected, in our sole discretion, as the new single Winner by a random drawing in Winner’s place, in the event of any of the following: (i) Winner cannot be reached after reasonable efforts within three (3) business days after the first attempt to contact Winner, (ii) Winner chooses not to accept the Prize, or (ii) Winner does not comply with these Official Rules (including on the Sweepstakes Page).

Affidavit If requested by us, as a condition to winning the Prize, Winner shall execute an “Affidavit of Eligibility and Liability/Publicity Release” (“Affidavit”). Agreement to the publicity release portion of the Affidavit is not required for Tennessee residents or any other state where prohibited by law. If Winner is a minor, Winner’s parent or legal guardian shall also execute the Affidavit.

Verification of Information. Although information that you provide may be verified, we are not under any obligation to verify any of the information that you provide, and you hereby warrant that all information that you provide in connection with the Scholarship Sweepstakes is complete and accurate.

Ownership Of Applications. All applications shall become our property and will not be returned.

Taxes Without limiting the Terms of Use, all taxes, costs and expenses associated with the receipt and/or use of the Prize shall be the sole and exclusive responsibility of the Winner and Winner shall report the value of any Prize for tax purposes as required by law. Without limiting the foregoing, Winner shall provide us with a completed Form W-9 with valid identification and a valid taxpayer identification number or social security number before the Prize will be awarded. Winner understands that, depending on the value of the Prize and its method of payment, we may report the Prize to the IRS.

Disclaimer of Warranties, Limitation of Liability, and Privacy
WITHOUT LIMITING ANY OTHER PROVISION IN THESE TERMS OF USE, ANY ADDITIONAL AGREEMENT OR OUR PRIVACY POLICY, ALL CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SCHOLARSHIP SWEEPSTAKES, INCLUDING WITHOUT LIMITATION IN CONNECTION WITH ANY APPLICATION OR PRIZE, AND, TO THE FULLEST EXTENT PERMITTED BY LAW, IN ANY CAUSE OF ACTION THE SWEEPSTAKES ENTITIES’ MAXIMUM AGGREGATE LIABILITY SHALL BE LIMITED TO APPLICANT’S DIRECT COSTS OF ENTERING AND PARTICIPATING IN THE SCHOLARSHIP SWEEPSTAKES.

Restrictions: Non-Transferability, Right to Cancel, Suspend, or Modify. Prizes are non-transferable and must be accepted as awarded. We reserve the right to cancel, suspend, or modify the Scholarship Sweepstakes and award the Prize from among all eligible entrants received prior to such cancelation, suspension or modification, or to elect not to award the Prize at all, for any legal, commercial, technical or other event, in our sole discretion.

Winner List Names of Winners may be posted on our Winners Page, and may be posted on the websites of Scholarship Partners or elsewhere, in our sole discretion. You may request a Winners’ list by sending an email no later than ninety (90) days after the relevant Draw Date to: support@scholarshipinstitute.org.
